These Terms and Conditions regulate access to and use of the www.solar-apac.edpr.com/, website ("Website"), including the reserved area (if any) of the Website ("Reserved Area"), all of which are the responsibility of EDP APAC Pte. Ltd. (hereinafter "EDP APAC"), a Singapore-incorporated entity with Unique Entity Number of 201512402M and with a, registered office at 23 Rochester Park #05-01, Singapore 139234.
The Website and the Reserved Area, will be referred to as "Digital Channels".
This document is intended to inform the user who accesses and/or uses the Digital Channels ("User" or "Users") of the conditions applicable to their use. The Digital Channels are intended for Users of legal age and should not be used by minors.
These Terms and Conditions should be read in conjunction with the Privacy Policy and the Cookie Policy (available here and here), which form an integral part of these Terms and Conditions.
The use of the Digital Channels by any User shall be governed by these Terms and Conditions, which imply acceptance by the User. If the User does not accept these Terms and Conditions, they must cease using the Digital Channels.
A. Access to Digital Channels
1. Users may access the Website without registering. Once you have registered and become an EDP APAC customer, you will have access to the Members’ Area, as well as to customer-specific services and features, as described in Section D of these Terms and Conditions.
2. To access the Reserved Area, the User must register and enter their credentials. In doing so, the User is responsible for creating their username (email address or mobile phone number) and password/PIN sent to their mobile phone, and must also provide specific information, which must be accurate and up-to-date. The User may not choose a username belonging to a third party with the intent of impersonating that person. Similarly, the User may not use a third party’s username without their express consent.
3. When registering via email, the User must use a unique password to protect their access to the Members-Only Area; this password must not be the same as any password used to access third-party websites or applications.
4. The User is responsible for the safekeeping, confidentiality, and proper use of their login credentials for the Reserved Area and must not disclose them to third parties or use them in circumstances that could allow third parties to decrypt or copy them.
5. If you lose your password, you can click the “ Forgot Password” button . You will then receive an email at the address you provided when you registered for the Members-Only Area , containing a link to reset your password.
B. Use of Digital Channels
1. Use of the Digital Channels depends on the use of a compatible device and internet access.
2. Access to and use of the Digital Channels, including the display of web pages, are activities carried out by Users, who are solely and exclusively responsible for the use of the Digital Channels and their contents. EDP APAC is not responsible or liable for any use of the Digital Channels by Users that do not comply with the legal provisions in force.
3. The User undertakes, when using the Digital Channels, to respect all the rights of third parties, namely by not sending content that is illegal, false, misleading, threatening, malicious, abusive, defamatory, insulting, invasive of privacy, racial, ethically or morally reprehensible, harmful or offensive to the dignity of individuals.
4. When using the Digital Channels, the User must be responsible and careful, not disturbing or degrading the continuity, integrity and quality of the resources and functionalities thereof, and must not adopt conduct that may cause damage to EDP APAC and to other Users or third parties.
5. The User must refrain from using the Digital Channels to make available or transmit any type of material that contains or may contain viruses, worms, defects, Trojan horses or other items, or computer codes, files or programs that may interrupt, destroy, limit the functionality of or exploit any computer vulnerability of the Digital Channels, any equipment or computer system or communications equipment.
6. Participation in contests, campaigns and other activities promoted by EDP APAC and/or its partners through the Digital Channels may also be subject to additional terms and conditions, specific to the initiatives in question and of mandatory acceptance.
C. Use of the Reserved Area (if applicable)
1. The use of the Reserved Area through the User's credentials is the User's sole responsibility. The User is responsible for any damage or loss caused to EDP APAC or third parties, resulting from the incorrect use, loss or theft of their personal information.
2. The User is entirely and exclusively responsible for any actions carried out through his/her User account, either directly or through third parties authorized by the User.
3. EDP APAC may suspend or cancel the User's Reserved Area account, at its discretion and at any time, if any abusive, fraudulent or illegal act is identified, or if the User fails to comply with the rules applicable to the use of the Digital EDP APAC will send you an e-mail informing you that access to your account in the Reserved Area has been canceled or suspended, using the address indicated when you created it. The User may request new access to the Reserved Area, the granting of which is subject to EDP APAC’s discretion.
D. Services available in the Reserved Area (if applicable)
1. In the Reserved Area the User will have access to specific customer functionalities and services, such as a:
a. Signing up for electricity and/or gas service;
b. Submitting meter readings recorded by the metering equipment installed at the point of consumption;
c. Viewing and accessing invoices, statistics, consumption data, and production data (if applicable);
d. Viewing suggestions for optimizing the contracted tariff and power;
e. Subscribing to Energy Advisory Features, which are based on recommendations/suggestions for improving energy efficiency based on Users’ energy profiles;
f. Managing smart solar battery charging;
g. Smart charging of electric vehicles;
h. Connecting, activating, and managing solar equipment;
i. Viewing the EDP Solar service energy report, which shows the performance of the solar panels and compares it to the same periods in previous years;
j. Participating in initiatives promoted by EDP APAC in conjunction with its business partners; and
k. Submitting, managing, and viewing requests for information and/or complaints.
2. The suggestions/recommendations provided by the Energy Advice Features referred to in subparagraph (e) of the preceding paragraph follow a collaborative filtering algorithm developed by EDP Comercial, based on information provided by Users, national statistical data, and publicly available information regarding best practices for reducing energy consumption.
E. Information provided
1. EDP APAC is responsible for managing the design, layout, and structure of the Digital Channels. EDP APAC reserves the right to update, modify, or remove, at any time and without prior notice, the information, features, and/or services available on the Digital Channels, as well as to modify their presentation and configuration.
2. EDP APAC makes every reasonable effort to ensure the truthfulness, accuracy, precision and timeliness of all the information presented on the Digital Channels, as well as the access and regular operation of the services provided therein. However, in the event of non-conformity or anomaly detected in the information or functionalities presented, the User must contact EDP APAC, by the means provided, so that the situation can be corrected.
F. Intellectual Property
1. The Digital Channels, their structure, layout, selection, organization, and presentation of all their content—including, but not limited to, articles, opinions, other texts, lists, user manuals, photographs, drawings, images, video clips, audio clips, or marketing texts—as well as trademarks, logos, domain names, and any other elements that may be covered by intellectual or industrial property rights (hereinafter “Material”), are the property of EDP APAC or third parties and are protected against unauthorized use, copying, or disclosure by national laws and international treaties relating to Intellectual Property Rights.
2. Nothing in these Terms and Conditions and/or in the contents of the Digital Channels shall be construed as implicitly conferring, accepting or in any way granting a license of right to use any Material by any means without the prior written consent of EDP APAC or the third party owner of the Material or Intellectual Property Rights published on the Digital Channels.
3. The use, copying, reproduction, alteration, republication, updating, downloading, sending by e-mail, transmission, distribution or duplication, or any other abusive act of the Material not specifically identified, but of an identical nature, is prohibited. As a User, he/she undertakes not to use the Material for illegal purposes and not to violate the rights of EDP APAC and/or third parties.
4. Except as expressly authorized by EDP APAC , the User is prohibited from reverse engineering, reverse assembling, or attempting to discover any source code, as well as from selling, assigning, sublicensing, or otherwise transferring or copying any rights to the Digital Channels, or from gaining control of the Digital Channels.
G. Safety and Operability
1. EDP APAC has adopted the appropriate technical and organizational measures to safeguard the security of the services it provides through the Digital Channels, to ensure the integrity of electronic traffic data related to unauthorized forms of use or knowledge, as well as to avoid risks of dissemination, destruction or loss of confidential or non-confidential data and information of its Users, contained in the Digital Channels or related to access - unauthorized or in breach of applicable legal provisions - to said data and information.
2. EDP APAC makes its best efforts, but cannot guarantee that the Digital Channels will be available and operating uninterruptedly or that they will be, at all times, accurate, reliable and free from errors or faults. For example, the operation of the Digital Channels may be adversely affected by situations beyond EDP APAC’s control, such as failures in the transmission and telecommunications methods between EDP APACand the User, or unauthorized attempts to access or alter content.
3. Unauthorized attempts to modify, alter, destroy, or corrupt the information contained in the Digital Channels; to analyze security measures; to compromise security measures or breach the authentication system; to install unauthorized software ; or to use this system for purposes other than those described herein, as well as any other type of criminal activity, are prohibited and will be reported to the competent authorities, for the application of the legally prescribed penalties. EDP APAC may, for the purpose of identifying such attempts, monitor traffic on the Digital Channels.
4. EDP APAC may, at any time, suspend or block access to the Digital Channels or any of their functionalities, for all or part of the Users, when:
(a) is necessary for commercial, legal, strategic or technical reasons;
(b) is necessary to guarantee the security of communication channels, equipment or information;
(c) is necessary for the management, maintenance, repair, alteration or modernization of systems; or
(d) is suspected of being used in breach of these Terms and Conditions.
5. In order to guarantee the security of the Digital Channels and access to them, EDP APAC may also, at any time, terminate, permanently or temporarily, partially or totally, the Digital Channels or any of their functionalities, without prior notice.
6. EDP APAC may terminate the accounts of Users who violate these Terms and Conditions or disrupt the operation of the Digital Channels by any means, including in situations where it is determined that the User is using an IP address from a proxy server or a Virtual Private Network (VPN) or another similar method, whether for the purpose of concealing the use of multiple accounts or to be identified as being in a country other than the one in which they are actually located.
H. Limitation of Liability
1. The User acknowledges that any access to or use of the Digital Channels is at the User's own risk, and the User shall be solely responsible for any damage or loss resulting therefrom. Within the limits resulting from the provisions of the applicable law, in no event shall EDP APAC be liable for direct or indirect loss of profits, or damage to property or non-pecuniary damage, whether lawful or unlawful, arising or loss of profits, of the User and/or third parties, including, by way of example only, damages for the loss or alteration of personal or non-personal data, damages for violations of intellectual property rights, or damages caused to the User's computer system and/or equipment, resulting from their use of the services, functionalities, content or information made available, in any way, through the Digital Channels.
2. Any content that may be downloaded or otherwise obtained is considered to be the result of the User's free decision and is carried out at the User's own risk. Any damage (if any) to computers/other equipment or loss of data resulting from download operations carried out by the User shall be the sole responsibility of the User and cannot be imputed to EDP APAC, within the limits of the applicable law.
3. EDP APAC assumes no responsibility for damages (if any) resulting from the impossibility of accessing the services made available through the website or for data (if any) caused by viruses, damaged files, errors, omissions, service interruptions, cancellation of content, Internet-related issues (including difficulty in accessing the Internet), service providers or with the telephone and/or telematic connection, unauthorized access, alterations of data or related to the non-existence and/or deficient functioning of the User's electronic devices or the lack of operability between the Digital Channels and certain mobile devices and/or operating software .
4. In addition to the above, EDP APAC shall not be liable in any way whatsoever, including but not limited to damages or losses of any nature whatsoever which may result from:
(e) Any inaccuracy, error, or omission regarding the information contained in the Digital Channels;
(f) Costs, fees, and taxes associated with the messages and data required to access or use the Digital Channels;
(g) Errors, failures, or the installation of viruses or other harmful elements on the devices and/or software used by the User as a result of accessing or using the Digital Channels and their features;
(h) Access to or inability to access the Digital Channels and their features, for example, due to their incompatibility with certain devices or software;
(i) Use or inability to use the Digital Channels and their features, including, in particular, delays, interruptions, errors, interference, and suspension of communications, omissions, Trojan horses, viruses, bugs, and damage and/or malfunctions;
(j) Suspension or cancellation of your access to the Digital Channels due to breach of these Terms and Conditions;
(k) Delays or blockages in access or use caused by deficiencies or overloads of the Internet or other electronic systems;
(l) Suspension, malfunction, or unauthorized use of the servers on which the Digital Channels are hosted;
(m) Delays, interruptions, malfunction, or failure of third-party systems and networks connecting to the Digital Channels;
(n) Illegal actions by third parties, including unauthorized attempts to access or alter the Digital Channels;
5. Users acknowledge that the suggestions/recommendations provided by EDP APAC as part of the Energy Advisory Features are based on a collaborative filtering algorithm, as well as on statistical and publicly available information regarding best practices for reducing energy consumption, and should be considered merely as recommendations. The User acknowledges that by adopting and implementing these suggestions/recommendations, they may not achieve the desired levels of energy consumption and efficiency.
6. EDP APAC hereby informs you that connection services (“links”) to third-party websites or to content provided by third parties (“other websites”) are included solely for informational purposes and for the User’s convenience. EDP APAC does not control other websites and, therefore, assumes no responsibility for them or for the content or products they may contain (including, without limitation, references to social media) and assumes no liability for any damages or losses that may result from the User’s use of such websites, as well as for the processing of personal data during internet browsing. Access to any other website via a link on the EDP ComercialAPAC website is at the User’s sole responsibility and risk.
7. EDP APAC shall not be liable for any breach of these Terms and Conditions by EDP APAC itself, caused by or in connection with events beyond EDP APAC’s reasonable control (force majeure). In the event of such an event, EDP APAC's obligations under these Terms and Conditions shall be suspended for the duration of the event.
I. Declarations and Guarantees
(1 ) Unless otherwise expressly provided in these Terms and Conditions, the Digital Channels, their content and their functionalities are presented "as is" and "as available", as permitted by applicable law, without any warranty of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, satisfaction of the User's requirements and/or expectations, non-infringement or warranty of uninterrupted services, all of which are expressly disclaimed.
2. EDP APAC reserves the right to make a discretionary assessment of any User's compliance with these Terms and Conditions: (i) breach of the Terms and Conditions may result in the withdrawal of the license to use granted by EDP APAC; (ii) Users undertake to indemnify and hold EDP APAC, as well as its legal representatives, partners and employees, harmless from any damages, liabilities, claims or requests for compensation, including expenses and costs of representation, requested by third parties as a result of the use of the Digital Channels in terms that do not comply with these Terms and Conditions, and/or as a result of the breach of the conditions provided for in these Terms and Conditions, and/or as a result of non-compliance with the representations and warranties contained in these Terms and Conditions.
3. Without prejudice to the other clauses of these Terms and Conditions, EDP APAC authorizes any User to use the Digital Channels and only for personal or informational purposes, as provided for in these Terms and Conditions. By accessing the Digital Channels, the User acknowledges and accepts that their content may be incomplete, inaccurate, not up-to-date, or may not meet their needs and requirements.
J. Processing of Personal Data
Personal data will be processed in accordance with the terms set out in the Privacy Policy and Cookies Policy available here and here.
K. Applicable Law
1. These Terms and Conditions shall be governed by Singapore law and parties submit to the non-exclusive jurisdiction of the Courts of Singapore. A person who is not a party to this agreement shall not be entitled to enforce any of the provisions herein and parties agree to exclude the application of the Contracts (Rights of Third Parties) Act 2001.
2. The User may contact us for any question related to the Terms and Conditions or the use of the Digital Channels, by registered letter with acknowledgment of receipt to EDP APAC’s address.
L. Final provisions
(1) These Terms and Conditions constitute the entire agreement between the User and EDP APAC with regard to the matters regulated herein, and are supplemented, in all respects not provided for herein, by the Privacy Policy and the Cookies Policy of the Digital Channels.
2. EDP APAC, at any time, without prior notice, may change or update, in whole or in part, these Terms and Conditions, as well as the Privacy Policy and the Cookies Policy. Any changes or updates to these Terms and Conditions, as well as to the Privacy Policy and Cookies Policy, will come into force as soon as they are published in the respective section of the Digital Channels. Users are advised to regularly check the Terms and Conditions, Privacy Policy and Cookies Policy sections for the most up-to-date versions.
3. Should any of the provisions of these Terms and Conditions be declared null and void, illegal, invalid or unenforceable for any reason, such nullity, illegality, invalidity or unenforceability shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect and continue to apply.
